Clients often come to me seeking advice on creating a new business. Often, an entrepreneur is not even aware of all of the legal issues involved at the earliest stages of a new venture. I guide the client through the choice of entity issues, tax implications of each entity, buy/sell and restrictive covenants with partners, employment contracts with key employees, and occasionally the adoption of a stock option plan. My office will perform all services incidental to the formation of a new business through the stage where an organization meeting prepares the clients to conduct corporate level affairs on their own. With the success of a business venture, clients will return for future legal issues affecting their business and personal affairs. This has led to additional work on contracts, intellectual property rights, land purchases, labor and employment matters, estate and succession planning, and sales, mergers and acquisitions.
